Resignation or other termination statement

The statement that “the registered agent has resigned or is otherwise no longer the registered agent” is required. [1]

Registered agent name

This information may be pre-filled. Provide the name of the resigned or terminated registered agent.

Registered agent street address

This information may be pre-filled. Provide the street address for the resigned or terminated registered agent.

Registered agent mailing address

This information may be pre-filled. Provide the mailing address for the resigned or terminated registered agent, if different from the street address.

Date of resignation

Provide the date upon which the registered agent resigned or otherwise ceased to be the registered agent. The date must be provided in the following format: mm/dd/yyyy.

Statement regarding notice of change

The statement that “the person appointed as registered agent has delivered notice of the change to the entity or other applicable person” is required. [2]

Historical purposes

Select “Yes” if the document delivered for filing is to comply with statute and does not change the registered agent information currently of record. If “Yes” is selected, the document is being delivered for filing for historical purposes and will not change the registered agent information as it is currently recorded in the records of the Secretary of State. Additional information

Select “Yes” if additional information is permitted or required by law to be included in the document. After clicking on “Submit” at the bottom of the online form, the system will proceed to the Manage Attachments page. Delayed effective date (optional)

If you want the document to take effect immediately, leave the radio button selected “Yes” and the date field blank.

If you don’t want the document to become effective immediately, select “No” and enter the date and time (time is optional) that you want the document to become effective in the box. If only a date is entered into the box, then the document will become effective at 11:59 PM on that date. The effective date of filing can be delayed up to 90 days maximum. Each individual causing the document to be filed is responsible for complying with the applicable statutes. Provide the last name and first name of at least one individual causing the document to be delivered for filing. Enter the individual’s mailing address, including the city, state and ZIP/postal code. Also provide the mailing address, including the city, state and ZIP/postal code. Any address outside of the United States must include the country and, if applicable, the province.
