Certificate of Good Standing

Q1. How do I get a Certificate of Good Standing?

A1. To print a free Certificate of Good Standing for any business entity in Good Standing:

  1. Go to the Business Organizations page.
  2. Under Search & file, click on Search business database
  3. Enter the name or ID number of the record that you are interested in and click on "Search".
  4. If you searched by ID number, you will be taken directly to the Summary page for that record. If you searched by the name, you will see a list of matching records. Click on the ID number of the correct record.
  5. From the Summary page, select "Obtain Certificate of Good Standing".
  6. The certificate will open as a PDF image.
  7. You may then print or save the certificate.
  8. Use the browser's "Back" button to return to the Summary page.

If the status of the entity is anything other than Good Standing (i.e., Delinquent, Exists, Dissolved or Revoked), a Certificate of Good Standing cannot be issued. Review the entity's History and Documents to see if a Periodic Report or some other document needs to be filed. Note: The U.S. Department of State has stated that the only Certificate of Good Standing it will accept is one that is printed in color rather than black and white.

 

Q2. Can I get a Certificate of Good Standing for my trade name?

A2. No. A Certificate of Good Standing is not available for trade names.

To get a Certificate of Fact for a trade name:

  1. From the Business Home page, select "Search Business Database".
  2. Enter the business name or ID number and click "Search".
  3. If you enter a name, a list of records with similar names will display. Select the ID Number of the appropriate record.
  4. From the Summary page, select "Get a certificate of fact of trade name".
  5. The certificate will open as a PDF image.
  6. You may then print or save the certificate.
  7. Use the browser's "Back" button to return to the Summary page.

 

Q3. How do I get a long form certificate of Good Standing?

A3. The long form Certificate of Good Standing is no longer available. A Certificate of Good Standing attached to the print-friendly version of the Certified Copies page provides the same information. If you use the print-friendly version of the History and Documents page, it may not include all trade name and trademark filings.
