Use these instructions when completing Amended and Restated Articles of Incorporation for a corporation pursuant to §7-110-107, §7-90-304.5 and part 3 of Article 90 of Title 7 of the Colorado Revised Statutes (C.R.S.).Provide only information required or permitted to be included in the document by Colorado law. The form must be completed on a computer or typewriter. Handwritten forms will not be accepted. The completed form must be in English and must state the name(s) and address(es) of at least one individual causing the document to be delivered for filing.
The required form must be used when filing the document. For legal authority, refer to §7-90-301 and §7-90-302, C.R.S. You may include additional information in an attachment to the form. Any attachment becomes part of the document. If there is a conflict between information in the attachment and the form, the information in the form controls. Information provided in a case-sensitive format will be retrieved and displayed in the same format. ID Number. The ID Number field will be pre-filled with the 11 digit number assigned to the record by the Colorado Secretary of State. This information cannot be changed.
Entity Name. The Entity Name field will be pre-filled with the name of the entity exactly as such name is recorded by the Colorado Secretary of State’s Office. This information cannot be changed.
New Entity Name. If the name of the corporation is being changed, state the new name of the corporation. The name of a corporation must contain the term or abbreviation “corporation”, “incorporated”, “company”, “limited”, “corp.”, inc.”, “co.” or “ltd”; If the corporation is a professional corporation, it must contain the term or abbreviation “professional corporation”, “p.c.”, or “pc”. For legal authority, refer to §7-90-601, C.R.S.
Constituent Filed Document. The Articles of Incorporation (corporation, nonprofit corporation, cooperative or cooperative association), Articles of Association (limited partnership association), Articles of Organization limited liability company), Certificate of Limited Partnership (limited partnership) or Statement of Registration (limited liability partnership or limited liability limited partnership). A statement is required that the constituent filed document is attached. A constituent filed document is referring to the Articles of Incorporation. Refer to the FAQ on attachments for more information.
Exchange, Reclassification or Cancellation of Issued Shares. If the amendment provides for an exchange, reclassification or cancellation of issued shares, provisions for implementing the amendment must be included in an attachment.
Delayed Effective Date (optional): The effective date of this document may be delayed up to 90 days after filing with the Colorado Secretary of State. The document becomes effective at twelve midnight Mountain Time on the date specified. However, a time of day other than twelve midnight may be selected. Mountain Time controls the filing date and time. For legal authority, refer to § 2-4-109 and § 7-90-304, C.R.S.
