ARTICLES OF ORGANIZATION OF COLORADO GOVERNMENT ACCOUNTABILITY PROJECT _________________________________________________________________ The undersigned person, acting as incorporator of a non-profit corporation under the Colorado Revised Nonprofit Corporation Act, execute the following Articles of Incorporation for such corporation. Article One NAME The name of the nonprofit corporation is Colorado Government Accountability Project ("Corporation"). Article Two INCORPORATOR, INITIAL REGISTERED AGENT AND INITIAL REGISTERED OFFICE The initial registered agent of the Corporation is Stephanie Cegielski. The address of the incorporator, the initial registered agent and the initial registered office of the Corporation is: Colorado Government Accountability Project PMB 214 9249 S Broadway, Unit 200 Littleton, CO 80129 Article Three PRINCIPAL OFFICE The address of the principal office of the Corporation is: Colorado Government Accountability Project PMB 214 9249 S Broadway, Unit 200 Littleton, CO 80129 Article Four DIRECTORS The number of directors shall be at least one (1) and not more than nineteen (19). Within that range, the number of directors shall be as stated by resolution adopted by the board of directors from time to time, but no decrease in the number of directors shall result in shortening the term of any incumbent director. The names and addresses of the persons who are to serve as the initial directors of the Corporation are as follows: 1. Stephanie Cegielski Article Five PURPOSE The Corporation shall be a nonprofit corporation qualifying for exemption from federal income tax under section 501(c)(4) of the Internal Revenue Code. The Corporation is organized to promote the common good and general welfare of all Americans by educating citizens on issues related to limited and accountable government agencies and officials. Article Six DISTRIBUTION OF ASSETS UPON DISSOLUTION Upon the dissolution of the corporation, the assets of the corporation shall be distributed for one or more exempt purposes within the meaning of Code § 501(c)(4), or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes. 1 2
